Legal Document Review Best Practices for Paralegals

Why Document Review Is a Career-Defining Skill

Few tasks occupy as much paralegal time as document review. In litigation, it supports discovery responses, privilege analysis, and trial preparation. In transactional work, it underpins due diligence for mergers, financings, and real estate deals. In regulatory matters, it supports investigations and subpoena responses. Paralegals who review accurately, quickly, and consistently become indispensable and often advance into project management, e-discovery, and senior roles. This guide outlines best practices that apply across practice areas and that certification exams increasingly emphasize.

What Are the Main Types of Document Review?

  • Litigation discovery review. Reviewing documents for responsiveness to requests, privilege, confidentiality, and issue relevance before production.
  • Due diligence review. Examining contracts, leases, corporate records, and filings to identify risks, obligations, and anomalies in a transaction.
  • Contract review. Checking agreements for key terms such as parties, term, payment, indemnification, limitation of liability, termination rights, and governing law.
  • Regulatory or investigative review. Reviewing materials in response to government inquiries.

How Should You Prepare Before Starting?

Preparation prevents inconsistent coding and rework. Before opening the first document:

  1. Read the review protocol or coding manual. It defines responsiveness criteria, issue tags, and privilege standards.
  2. Understand the case. Review the pleadings, requests for production, and any key witness list so you can recognize relevant names and concepts.
  3. Attend the kickoff meeting and ask questions about edge cases.
  4. Learn the platform. Practice using search, filters, batching, and coding panels in the review tool.
  5. Confirm the privilege and confidentiality rules, including how to handle protective orders.

How Do You Identify Privileged Documents?

Privilege review demands care because inadvertent production can waive protection. The two main protections are:

  • Attorney-client privilege. Covers confidential communications between client and attorney made for the purpose of obtaining or providing legal advice. The presence of an attorney on an email does not make it privileged; the primary purpose must be legal advice, and third parties generally destroy confidentiality.
  • Work product doctrine. Protects documents prepared in anticipation of litigation by or for a party or its representative. Opinion work product receives near-absolute protection, while fact work product can be overcome by a showing of substantial need and undue hardship.

When in doubt, flag the document for attorney review rather than making the final decision. Privileged documents are withheld and logged on a privilege log that describes each item without revealing protected content. Many matters also use Federal Rule of Evidence 502(d) orders and clawback agreements so inadvertent production does not waive privilege.

What Makes a Document Responsive?

A document is responsive when it falls within the scope of a document request, which is limited by the relevance and proportionality standards of Rule 26(b)(1). Read each request carefully, including the defined terms and relevant time period. Code based on the document as a whole, including attachments, unless the protocol says otherwise. Family relationships between emails and attachments are usually preserved. If a document is partly privileged, it may be produced with redactions and a redaction label.

How Do You Handle Confidential and Sensitive Information?

Documents may contain trade secrets, personal data, health information, or financial details. Apply the confidentiality designation required by any protective order, such as Confidential or Attorneys' Eyes Only. Identify personally identifiable information that must be redacted under court rules or privacy laws. Never discuss review content outside the team, avoid using personal devices or unapproved applications, and report any suspected data breach immediately.

What Quality Control Steps Improve Accuracy?

  • Consistency checks. Compare coding of near-duplicate and threaded documents to ensure similar documents are tagged the same way.
  • Second-level review. A senior reviewer re-examines a sample of coding, particularly privilege and hot documents.
  • Sampling and validation. Statistical sampling measures recall and precision, which is especially important when using technology assisted review.
  • Issue logs. Maintain a running list of questions and decisions so the team applies the same answers.
  • Hot document tracking. Flag documents that are especially helpful or damaging and escalate them promptly.

How Does Technology Assisted Review Fit In?

Modern platforms use analytics such as email threading, near-duplicate detection, concept clustering, and predictive coding (also called technology assisted review or continuous active learning) to prioritize likely relevant documents and reduce volume. These tools do not replace human judgment. Reviewers train the algorithm by making accurate coding decisions, and attorneys remain responsible for the defensibility of the process. Courts have approved technology assisted review when the methodology is transparent and validated, and parties are generally expected to cooperate on search methods.

How Can You Review Faster Without Sacrificing Accuracy?

Use keyboard shortcuts, work in focused blocks, and take breaks to prevent fatigue errors. Skim the header, author, recipients, date, and subject line first, then dive into the substance. Keep notes on recurring document types. Track your pace and accuracy rates, and ask for feedback regularly. Speed comes from familiarity with the case, not from skipping steps.

What Ethical Duties Apply?

Paralegals must preserve client confidences, avoid conflicts of interest, and work under the supervision of an attorney who is responsible for the work. Never alter, destroy, or withhold documents in a way that could be obstruction. Report errors immediately, including mistaken production, because prompt notice allows clawback under the rules.
